美敦力避稅 砸429億併柯惠

（中央社台北2014年6月16日電）彭博報導，排名第二大的美國醫療器材製造商美敦力同意砸下429億美元，以現金加股票的方式買下總部位在都柏林的柯惠，美敦力將轉型為協助醫療院所與病患增加掌控成本能力的公司。

美敦力（Medtronic Inc. US-MDT）與柯惠（Covidien Plc US-COV）昨天在聲明中指出，美敦力將以93.22美元收購柯惠1股，較13日柯惠在紐約掛牌股價72.02美元溢價近29%。

合併後新公司將移師愛爾蘭。愛爾蘭的稅率相對美國較低。

這是總部位在明尼阿波利斯（Minneapolis）的美敦力史上最大筆併購案。美敦力將可接手柯惠的醫療器械，其中包括手術縫合器與呼吸器等，以及愛爾蘭的住址。

這起併購案將讓美敦力活用為了避稅而放在美國以外國家的近140億美元現金。

待本案落實，柯惠流通在外的普通股每股將可轉換為現金35.19美元與美敦力0.956股普通股。美敦力上周五股價收報60.70美元。（譯者：中央社趙蔚蘭）
