公司治理評鑑上路 聚焦5大構面

（中央社記者田裕斌台北2014年4月14日電）台灣上市櫃公司治理即將進入新時代，台灣證券交易所今天公布公司治理評鑑指標，共有5大構面、92項指標，其中，董事會結構與運作占最重要的角色。

證交所公司治理部經理鄭村表示，今年起開始辦理公司治理評鑑，除上市櫃未滿1年、變更交易方法、停止買賣、終止上市櫃外，所有上市櫃公司都將納入評鑑，明年元月完成公司自評作業，明年3月完成證券暨期貨市場發展基金會評鑑作業，明年4月公布首屆公司治理評鑑結果，並公布排名前20%的上市櫃公司進行表揚。

根據證交所公布資料，公司治理評鑑指標分為「利害關係人利益維護與企業社會責任」、「股東權益維護」、「資訊透明度」、「股東平等對待」及「董事會結構與運作」5大構面，在評鑑中占比分別為15%、20%、15%、15%、35%。

證交所指出，「公司治理評鑑指標」參考了包括亞洲公司治理協會(ACGA)、東協ASEAN等指標，未來將研擬公司治理指數選股標準或指標，推出「公司治理指數」指數股票型基金(ETF)等相關商品；針對評鑑表現不佳的上市櫃公司，也將進行差異化管理。
