證監會機構調整 定案

備受市場關注的大陸證監會12年來最大一次機構調整，終於定案，此次共調整發行監管部等九個部門主要職責。

京華時報引述大陸證監會新聞發言人表示，此次調整九大部門包括，成立新的發行監管部、上市公司監管部、期貨監管部，設立公司債券監管部、創新業務監管部、私募基金監管部、設立打擊非法證券期貨活動局（清理整頓各類交易場所辦公室）；調整非上市公眾公司監管部。

券商高管表示，新發行部除將原綜合處和發審委合併外，新增發行監管處負責發行階段詢價、定價、配售的監管。從此次組織架構調整可以看得出，新股發行體制改革後的首批新股，在發行環節存在大量問題，引起大陸監管層的極大重視。

具體來看，新的發行監管部主要職責是：擬訂在境內發行股票並上市的規則、實施細則，及發行可轉換公司債券的規則、實施細則；審核在境內首次公開發行股票的申請文件。新的上市公司監管部主要職責是，監督上市公司及其董事、監事、高級管理人員、主要股東履行證券法規規定的義務；負責上市公司出現重大問題及風險處置的相關工作等。
