《科技》威寶嫁了，台灣之星6月娶進門

【時報-台北電】台灣之星併購威寶6月生效！台灣之星、威寶電信昨(9)日召開董事會，決議採股份轉換方式，由台灣之星取得威寶電信全部已發行股份，經股份轉換後，威寶將成為台灣之星持股百分之百之子公司。

另外，威寶電信既有股東仁寶、金寶，將以威寶每3.05股普通股換發台灣之星普通股1股；台灣之星之前現金增資至180億元，這次併購威寶、擬再發行20億元的新股，資本額增加至200億元；威寶目前實收資本額61億元，大股東仁寶及金寶換持台灣之星股份後，持有台灣之星10％股權。

台灣之星其它股東包括正崴旗下勁永持股10％、國泰集團20％、中信壽持股8％，頂新52％。台灣之星表示，併購威寶是為有效擴大營運規模、強化經營體質以提高競爭力及經營績效。雙方暫訂6月15日為轉換股權生效日。

威達雲端也在昨日公告，旗下子公司大同電信、威邁思電信兩家公司合併，合併後大同電信為存續公司，威邁思為消滅公司。大同電信與威邁思電信的換股比例為1:2.15。(新聞來源：工商時報─記者林淑惠／台北報導)
